1. Acceptance of Terms

By accessing or using the Elli Creators platform, mobile application, and website (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

  • These Terms constitute a legally binding agreement between you and Elli Creators.
  • We reserve the right to modify these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the new Terms.
  • You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

2. User Accounts

To access certain features of the Service, you must create an account. When creating your account, you agree to provide accurate, current, and complete information.

  • You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
  • You must notify us immediately of any breach of security or unauthorized use of your account.
  • You may not use another user's account without permission. You are fully responsible for all activity that occurs under your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

3. Service Description

Elli Creators is a platform that connects brands with content creators for the production of user-generated content (UGC). The Service facilitates:

  • Task creation and management for brands seeking UGC content.
  • Creator discovery, application, and matching with brand tasks.
  • Content submission, review, and approval workflows between creators and brands.
  • Payment processing for completed and approved content deliverables.
  • Product delivery coordination between brands and creators.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

4. Payment Terms

All payments processed through the Service are subject to the following terms:

  • Brands agree to pay the agreed-upon amount for each task upon approval of the delivered content.
  • Creators will receive payment for approved content through the payment methods available on the platform.
  • All fees and charges are listed on the Service and are subject to change with prior notice.
  • Refunds are handled on a case-by-case basis and are subject to our refund policy.
  • You are responsible for any applicable taxes related to payments received through the Service.

5. Content Ownership

Content created and submitted through the Service is subject to the following ownership terms:

  • Upon approval and payment, the brand receives a license to use the content as specified in the task requirements.
  • Creators retain the right to display completed work in their portfolio unless otherwise specified in the task agreement.
  • Elli Creators may use submitted content for promotional purposes, platform improvement, and marketing with appropriate attribution.
  • You represent and warrant that any content you submit does not infringe upon the intellectual property rights of any third party.

6. User Responsibilities

As a user of the Service, you agree to the following responsibilities:

  • Provide accurate and truthful information in your profile and communications.
  • Complete assigned tasks within the agreed-upon timeline and to the specified quality standards.
  • Communicate professionally and respectfully with other users on the platform.
  • Report any issues, bugs, or violations of these Terms to our support team promptly.
  • Comply with all applicable laws and regulations in your jurisdiction.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any unlawful purpose or in violation of any local, state, national, or international law.
  • Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Interfering with or disrupting the Service or servers or networks connected to the Service.
  • Uploading or transmitting viruses, malware, or other malicious code.
  • Attempting to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks.
  • Scraping, data mining, or using automated means to access the Service without our written consent.
  • Submitting content that is offensive, abusive, defamatory, obscene, or otherwise objectionable.
  • Circumventing the payment system by arranging transactions outside the platform.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Elli Creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
  • We do not guarantee that the Service will be uninterrupted, secure, or error-free.
  • Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate the use of the Service under the following conditions:

  • You may terminate your account at any time by contacting our support team or through your account settings.
  • We may suspend or terminate your account immediately, without prior notice, if you violate these Terms.
  • Upon termination, your right to use the Service will immediately cease. Any outstanding payments or obligations will survive termination.
  • We reserve the right to remove any content you have submitted upon termination of your account.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the Service shall be resolved through the competent courts in Amman, Jordan. You agree to submit to the personal jurisdiction of such courts.
